AgencyMadeEasy Terms of Service

These Terms of Service ("Terms") govern use of the AgencyMadeEasy platform at app.agencymadeeasy.com and the website at agencymadeeasy.com (together, the "Service"), provided by Agency Made Easy, LLC ("AgencyMadeEasy," "AME," "we," "us"). By using the Service, you agree to these Terms.
1. Who these Terms apply to
The Service is offered to marketing and advertising agencies ("Agencies") under a signed AgencyMadeEasy agreement (the "Agency Agreement"). These Terms also apply to every person who uses the Service, including an Agency's employees and contractors and the Agency's clients who use the client portal.
If these Terms and an Agency Agreement conflict, the Agency Agreement controls for that Agency.
2. Accounts
You must give accurate information, keep your sign-in details private, and tell us promptly at support@agencymadeeasy.com if you believe your account has been misused. Each Agency decides who in its organization may use the Service and what each person may do, and is responsible for activity under its accounts.
3. Your data
An Agency and its clients own the information they put into or connect to the Service ("Customer Data"). You give AgencyMadeEasy permission to host, process, display, and transmit Customer Data only as needed to provide and support the Service, as described in our Privacy Policy. We do not sell Customer Data.
You are responsible for the accuracy and legality of Customer Data, and for having the rights and permissions needed to put it into the Service.
4. Connecting outside services
The Service can connect to outside services such as Google Drive, Google Analytics, Google Ads, Google Calendar, Meta Ads, and QuickBooks Online. By connecting a service, you confirm that you are authorized to grant that access, including permission from your clients for any of their accounts you connect.
Your use of those services is governed by their own terms. AgencyMadeEasy is not responsible for outside services, their availability, or changes they make that affect the Service. You can disconnect a service at any time.
5. Acceptable use
You agree not to:
break any law or anyone else's rights using the Service;
upload malicious code, or try to gain unauthorized access to the Service, other accounts, or other Agencies' data;
interfere with or overload the Service, or test its security without our written permission;
copy, resell, or reverse engineer the Service, except as the law expressly allows;
use the Service to send spam or unlawful communications.
We may suspend access that we reasonably believe violates these Terms or puts the Service or other users at risk, and will notify the Agency when we can.
6. Our platform
AgencyMadeEasy owns the Service, including its software, design, templates, and content we provide. These Terms give you the right to use the Service for your Agency's business while your Agency's account is active. They do not transfer ownership of anything. If you send us suggestions, we may use them without obligation to you.
7. Fees
Fees, billing, and plan details are set out in the Agency Agreement and the plan the Agency chooses.
8. Changes and availability
We improve the Service over time and may add, change, or remove features. We will give Agencies reasonable notice of changes that significantly reduce core functionality. We work to keep the Service available but do not guarantee it will be uninterrupted or error-free.
9. Disclaimers
Except as stated in the Agency Agreement, the Service is provided "as is" and "as available," without warranties of any kind, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Reports and figures in the Service depend on data from outside services, which AgencyMadeEasy does not control. You are responsible for reviewing them before relying on them or sharing them with clients.
10. Limitation of liability
To the fullest extent the law allows, AgencyMadeEasy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. AgencyMadeEasy's total liability for any claim relating to the Service will not exceed the amount the Agency paid AgencyMadeEasy in the 12 months before the claim arose.
11. Indemnity
Each Agency will defend and hold AgencyMadeEasy harmless from claims arising from its Customer Data, its use of the Service in violation of these Terms, or its connection of accounts it was not authorized to connect.
12. Ending use
An Agency may stop using the Service as provided in its Agency Agreement. We may suspend or end access for a serious breach of these Terms. After an account ends, the Agency may request an export of its Customer Data within 30 days. After that period, we delete it as described in our Privacy Policy.
13. Governing law
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Greenville County, South Carolina.
14. Changes to these Terms
We may update these Terms. We will post the new version here with a new effective date and notify Agencies of significant changes. Continued use after a change takes effect means you accept it.
